1. Agreement to terms
These Terms of Service ("Terms") govern your use of the PowerFrame platform and services ("Services") operated by Path Partner Holdings LLC, a Wyoming limited liability company ("PowerFrame," "we," "us," or "our"). By creating an account, signing a Master Service Agreement (MSA), or otherwise using our Services, you agree to these Terms.
If you are using the Services on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
2. Description of service
PowerFrame is an AI business operating system that deploys AI agents ("AI Employees") to handle customer interactions, lead management, scheduling, and related business operations for service businesses. Our Services include:
- Pipeline Starter: 10 AI Employees for front-office operations at $997/month + $2,500 setup
- Full PowerFrame: 33 AI Employees across five operational pillars with performance-based pricing
- Configuration, onboarding, ongoing operation, Client Operations Manager support, and integrations with your existing business systems
3. Accounts and eligibility
You must be at least 18 years old and authorized to enter contracts on behalf of a business to use PowerFrame. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Payment and billing
Fees: Setup fees, monthly subscription fees, and performance-based fees (Full PowerFrame tier) are set out in your signed MSA or ordering document.
Billing cycle: Monthly subscription fees are billed in advance on the same day each month. Setup fees are billed upon signing.
Payment method: Valid credit card, ACH, or wire transfer (enterprise). You authorize PowerFrame to charge your payment method for all fees.
Taxes: Fees do not include applicable taxes. You are responsible for all taxes except those on our net income.
Late payment: Past-due amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
Chargebacks: Unauthorized chargebacks may result in account suspension and collection activity.
5. Initial term and renewal
Pipeline Starter: 6-month initial term, then month-to-month. Cancellation requires 30 days written notice after initial term.
Full PowerFrame: 12-month initial term, then month-to-month. Cancellation requires 60 days written notice after initial term.
Founding tier: Same terms as above; founding pricing locked for the life of your account.
Cancellation during the initial term is subject to the early-termination provisions of your MSA.
6. Guarantees
PowerFrame offers the following guarantees, which are your exclusive remedy for service failures:
- 14-day install guarantee: If we do not go live within 14 days of discovery kickoff for reasons within our control, your first month is free.
- 30-day money-back guarantee: If the system is not operational within 30 days of go-live, full refund of setup and monthly fees paid, and you retain rights to any leads booked during that period.
- Zero revenue clawback: For Full PowerFrame performance pricing, we never claim a percentage of revenue on leads booked before your cancellation effective date.
- Month-to-month after initial term: No auto-renewal on multi-year terms.
7. Your responsibilities
- Provide accurate, complete information during onboarding
- Maintain lawful basis to process your customers' data through our platform
- Comply with all applicable laws, including TCPA, CAN-SPAM, GDPR, CCPA, and industry-specific regulations (HIPAA, FCRA, etc.)
- Not use PowerFrame to send unsolicited communications in violation of law
- Obtain and maintain any licenses required for your business
- Keep integrations and credentials up to date
- Review and approve agent scripts and logic during onboarding
8. Acceptable use
You may not:
- Use PowerFrame for illegal purposes, including fraud, harassment, defamation, or discrimination
- Use PowerFrame to solicit high-risk industries prohibited by our Acceptable Use Policy without prior written consent (adult content, gambling, MLM, debt collection without license, etc.)
- Attempt to reverse engineer, decompile, or extract the source code of our AI agents
- Use PowerFrame to build a competing AI agent platform
- Circumvent TCPA consent requirements or other opt-out mechanisms
- Share your account credentials with unauthorized users
Violations may result in immediate suspension, termination, and forfeiture of fees paid.
9. AI-specific terms
Outputs and accuracy: AI agents generate outputs based on probabilistic models. While we tune for your specific business context, AI outputs may contain errors. You are responsible for reviewing outputs and establishing appropriate human oversight.
Confidence thresholds: Every agent escalates to a human when below 70% confidence. You are responsible for staffing the escalation channel.
No professional advice: AI agents do not provide legal, medical, financial, or tax advice. They must not represent themselves as licensed professionals.
Disclosure: If a caller or message recipient directly asks whether they are interacting with AI, the agent discloses.
10. Intellectual property
Our IP: PowerFrame, the P.O.W.E.R. framework, agent architectures, training data, and platform code are our intellectual property. We grant you a limited, non-exclusive, non-transferable license to use them during your subscription.
Your IP: You retain all rights to your business data, customer lists, scripts, pricing, and brand. You grant us a limited license to use this data solely to provide the Services.
Feedback: If you provide feedback or suggestions, we may use them without obligation to you.
11. Data and privacy
Our handling of personal information is governed by our Privacy Policy and Data Processing Agreement, which are incorporated into these Terms.
12. Warranties and disclaimers
We warrant that the Services will perform materially as described in our marketing materials and your MSA. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or will meet every customer interaction perfectly.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POWERFRAME'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL POWERFRAME BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation applies regardless of the legal theory (contract, tort, or otherwise).
14. Indemnification
You agree to indemnify, defend, and hold harmless PowerFrame, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:
- Your breach of these Terms
- Your violation of any law or third-party rights
- Content you provide (scripts, pricing, customer data)
- Communications sent by AI agents based on your configuration
15. Termination
By you: You may cancel as described in Section 5.
By us: We may suspend or terminate your account immediately for material breach, non-payment, or violation of the Acceptable Use Policy.
Effect of termination: Upon termination, your license to use the Services ends. We will provide a data export for 30 days post-termination, after which your data is deleted per our retention schedule.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
Arbitration: For disputes under $50,000, we agree to first attempt resolution through good-faith negotiation, then binding arbitration under the American Arbitration Association Commercial Arbitration Rules. Arbitration will occur in Cheyenne, Wyoming (or virtually).
Class action waiver: You agree to resolve disputes on an individual basis and waive the right to participate in a class action.
17. Changes to terms
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
18. General provisions
Entire agreement: These Terms, together with your MSA and incorporated policies, constitute the entire agreement.
Severability: If any provision is unenforceable, the remainder remains in effect.
No waiver: Our failure to enforce any right is not a waiver.
Assignment: You may not assign these Terms without our consent. We may assign to a successor in a merger or acquisition.
Force majeure: Neither party is liable for delays due to events beyond reasonable control.
